At our office, we frequently represent clients who want to create either a corporation or limited liability company within the State of California. These clients often ask the same question – how long will it take? The answer depends on whether the client would like the incorporation expedited or not.
To simply incorporate a company in California, one needs to file a document with the Secretary of State. Depending on whether you are incorporating a corporation or a limited liability company, you will file either Articles of Incorporation or Articles of Organization. Currently, the turnaround time on filing this document is approximately twenty-one days. However, this time period varies.
The California Secretary of State does offer various expediting services, however. The two main expedited services are (i) same-day filing; and (ii) 24-hour filing.
With same-day filing, the Secretary of State must receive the initial paperwork by 9:30 a.m. on a business day and the documents will be filed by 4:00 p.m. on the same day. The additional expedited cost for the same-day filing is $750.00.
For 24-hour filing, the Secretary of State will file the initial paperwork within 24 hour of receipt. The additional expedited cost for the 24-hour filing is $350.00. Please note that there is also a 4-hour filing service which requires preclearance and approval ahead of time with the Secretary of State.
Depending on your circumstances, there may be additional filing requirements, either as part of the initial incorporation or after formal incorporation.
